Boustead IPO Client Soliton (SOLY) Closes $6.25 Million Private Placement
Boustead Securities, LLC, IPO client Soliton, Inc. (NASDAQ: SOLY), a medical device company with a new and proprietary platform technology licensed from The University of Texas on behalf of the MD Anderson Cancer Center ("MD Anderson"), completed definitive agreements with certain institutional and accredited investors and today raised aggregate gross proceeds of approximately $6.25 million through the private placement of its equity securities.
Today's financing was led by Remeditex Ventures, LLC, the Company's largest shareholder, which purchased $2.0 million of the securities in the private placement. Roth Capital Partners and Boustead Securities acted as placement agents for the fundraising. Soliton sold 485,250 shares of the Company's common stock at $12.88 per share. Each share was sold together with a warrant to purchase 1.1 shares of common stock. Each warrant had an exercise price of $12.88 per share. The warrants are exercisable immediately and will have a term of five years. Soliton intends to use the net proceeds from today’s offering for working capital purposes.
Previously, on February 19, 2019, Boustead Securities served as Sole Underwriter for Soliton’s $10,862,955 Reg A+ Initial Public Offering on Nasdaq. Soliton sold 2,172,591 shares of its common stock at the IPO price of $5.00 each.
Subsequently, on June 19, 2019 Soliton raised aggregate gross proceeds of approximately $9.45 million through a private placement in its first follow-on offering of its equity securities as a public company. Soliton sold an aggregate of 675,000 shares of the Company's common stock at $14.00 per share.
This brings the total amount of funds raised for Soliton with Boustead Securities serving as IPO underwriter or placement agent to $26.6 million over the past eight months.

If any shares are unable to be included on the initial registration statement, Soliton has agreed to file subsequent registration statements until all the shares have been registered, and the registration rights agreement imposes certain customary cash penalties on Soliton for its failure to satisfy specified filing and effectiveness time periods.
